Terms of sale
What applies when you subscribe to a paid plan: prices, term, payment, cancellation.
These terms come into force when paid plans open. The Discovery plan, which is free, is governed solely by the terms of use.
1. Seller
Kimori's paid plans are sold by the person identified in the legal notice, which should be consulted for the seller's identity.

2. Scope
These terms govern subscription to the paid plans of the Kimori service, the online deadline-tracking software described in the terms of use, which apply in addition.
The service is reserved for professional customers — businesses, freelancers, associations and other organisations acting in the course of their activity. Subscribing implies unreserved acceptance of these terms, which prevail over any other document of the customer.

Prices are exclusive of tax; VAT applicable on the invoicing date is added to the price. The yearly discount is built into the price: a year is charged the equivalent of ten months. The Discovery plan is free, unlimited in time and requires no payment method; it is governed by the terms of use.
Each plan's caps are enforced automatically by the service. Up-to-date details are on the site's pricing page.
4. Subscribing
Subscription takes place online, from the customer's account, through the payment provider Stripe. The contract is concluded when payment is validated; a confirmation is sent by email. The customer warrants that they are authorised to bind the Organisation on whose behalf they subscribe.
5. Term, renewal, cancellation
The subscription carries no commitment. It runs for one month or one year depending on the billing period chosen, renewed automatically for identical periods.
The customer may cancel at any time from their billing area; cancellation takes effect at the end of the current period, which remains payable. Until then, the customer keeps access to their plan and may reverse the cancellation.
Afterwards, the account moves to the Discovery plan: data is kept, but creating new items is blocked beyond the free plan's caps for as long as usage exceeds them.
6. Payment
Payment is made by card, or any other method offered by Stripe, on subscription and then at each renewal, by automatic debit. Invoices are made available to the customer in their billing area.
If a payment fails, the service may, after notice and a further attempt to charge, suspend access to the paid plan and then downgrade the account to the Discovery plan.
In accordance with articles L441-10 and D441-5 of the French Commercial Code, any late payment automatically gives rise to late-payment penalties — the European Central Bank rate plus 10 points — and a fixed recovery indemnity of €40.
7. Right of withdrawal
As the service is reserved for professionals and subscribed to remotely in the course of their activity, the right of withdrawal under French consumer law does not in principle apply. The Discovery plan, free and without commitment, allows the service to be evaluated before subscribing in any event.
8. Changing plan
Moving to a higher plan is possible at any time; it is charged according to the terms displayed at the time of the change, pro rata for the remaining period where applicable. Moving to a lower plan takes effect at the end of the current period.
9. Price changes
Prices may change. Any new price list applies to existing subscriptions only from the following renewal, and subject to the customer being informed at least 30 days before it takes effect. A customer who is free to cancel before renewal is not bound by the new price.
10. Refunds
Save where the law provides otherwise or as an express gesture of goodwill, periods already started are not refunded, including where cancellation occurs mid-period.
11. Service level and liability
The seller provides the service diligently, on a best-efforts basis, without guaranteeing uninterrupted availability. The limitations of liability set out in the terms of use apply.
In any event, and save for gross negligence or wilful misconduct, the seller's total liability under a subscription is capped at the amount actually paid by the customer over the twelve months preceding the triggering event. The service is an organisational tool: it guarantees neither that a reminder will be received by its recipient, nor that the customer will meet their legal or contractual obligations.
12. Force majeure
Neither party shall be held liable for a failure resulting from an event of force majeure within the meaning of article 1218 of the French Civil Code. If the impediment lasts more than 60 days, either party may terminate the subscription without indemnity, sums corresponding to the period not provided being refunded.
13. Customer data
The customer's data remains their property, on the terms set out in the terms of use. When a subscription ends, it remains accessible within the limits of the Discovery plan; the customer may at any time permanently delete their account and all of their data.
14. Governing law and disputes
These terms are governed by French law. The parties will seek an amicable solution before any action. Failing that, exclusive jurisdiction lies with the commercial court of the seller's registered office, including in summary proceedings, notwithstanding multiple defendants or third-party claims.
